Terms of Service

Welcome to Gohashinclude. These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("Client," "you"), and Gohashinclude Pvt. Ltd. ("Company," "we," "us," or "our"), concerning your access to and use of our IT consulting, software engineering, and digital services ("Services").

By accessing our websites, software platforms, or engaging our development services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree, you are expressly prohibited from using our Services.

Gohashinclude provides a variety of IT solutions, including but not limited to custom software development, AI integration, enterprise architecture consulting, and managed cloud services.

Service delivery timelines, milestones, and deliverables are typically defined in separate Statements of Work (SOW) or Master Service Agreements (MSA) which function in conjunction with these Terms. In case of conflict, the specific SOW/MSA will supersede these general terms.

For certain SaaS products or client portals, you may be required to register an account. You agree to keep your password confidential and will be responsible for all use of your account and password.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate or violates third-party rights.

Unless otherwise stipulated in a bespoke development agreement, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") are owned or controlled by us and are protected by copyright and trademark laws.

Upon full payment for custom development services, IP rights for the final deliverables may be transferred to the client as outlined in the respective SOW. However, we retain ownership of pre-existing frameworks, libraries, and tools used to create the deliverables.

To ensure successful project delivery, you agree to:

• Provide accurate, complete, and timely information and access to necessary systems/APIs.
• Ensure you have the rights and licenses to any third-party materials or data provided to us.
• Not use our Services for any illegal or unauthorized purpose.
• Not attempt to reverse engineer, decompile, or dismantle any software provided as a SaaS solution.

Fees for our IT services are billed according to the agreed-upon pricing models (e.g., fixed price, time and materials, or subscription-based). Invoices must be paid within the timeline specified in the invoice or underlying contract.

Late payments may incur interest charges at the maximum rate permitted by law. We reserve the right to suspend or terminate services, including hosting and software access, for non-payment.

Both parties agree to hold in strict confidence any proprietary or confidential information ("Confidential Information") disclosed during the engagement. Confidential Information shall not be disclosed to any third party without prior written consent, except as required by law.

Our software solutions may incorporate third-party tools, APIs, and Open Source Software (OSS). We make no warranties regarding the performance of third-party tools. Use of OSS is governed by their respective licenses, which will be disclosed upon request or included in technical documentation.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. GOHASHINCLUDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the software will be uninterrupted, error-free, or entirely secure against cyber threats, given the evolving nature of technology.

IN NO EVENT SHALL GOHASHINCLUDE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services, breach of these Terms, or breach of intellectual property rights.

These Terms shall remain in full force and effect while you use our Services. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

These Terms shall be governed by and defined following the laws of India. Gohashinclude and yourself irrevocably consent that the courts of Jaipur, Rajasthan shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time. We will alert you about any changes by updating the "Effective" date of these Terms.
